Article 1 - NAME OF THE FEDERATION
It is the Photographic Arts Federation Of Türkiye. Its short name is TFSF.
Article 2 - HEADQUARTERS OF THE FEDERATION
It is Ankara.
Article 3 - PURPOSE OF THE FEDERATION AND THE SUBJECTS AND METHODS OF WORK IT WILL PURSUE TO ACHIEVE IT
The purpose of the Federation is to build rapprochement and solidarity with photography associations and art circles, to ensure the development, learning and dissemination of the art of photography, to contribute to the social and cultural life of society, to promote our culture and art abroad in every respect through the art of photography, and likewise to help our own country become acquainted with world culture and art, and to raise awareness of social issues and of every kind of disadvantaged situation. To this end it prepares, commissions and carries out photography activities and projects.
The following work is carried out to achieve this purpose:
a) Member associations are enabled to develop relations with one another, and their work is supported.
b) It encourages the establishment of new associations and contributes to their founding.
c) It organizes meetings, conferences, panels, seminars, screenings, exhibitions, competitions, festivals and trips, and supports such activities organized by member associations.
ç) It builds relations with, and becomes a member of, federations of other countries in order to promote and represent our country in the international photographic art environment, and carries out the work necessary to closely follow world photographic art.
d) It accelerates the communication of news and information through publications such as bulletins and magazines, and by issuing periodical and non-periodical publications such as books, albums and catalogues and by using electronic media, it ensures that works are evaluated and that culture and art subjects are addressed.
e) It carries out work that will promote our photographic work, our culture and art, and Türkiye in general, in other countries.
f) In order to develop our knowledge and experience, it brings in exhibitions, screenings and other work from other countries.
g) It supports, from a photographic-art perspective, all work that will enrich science, art and culture.
ğ) Collections of photographs, cameras and equipment carrying historical, technical and artistic value are formed, and it ensures these are exhibited under contemporary conditions and made available to researchers by being brought together under a library or museum.
h) It builds relations with, and cooperates and participates in the work of, institutions at every level that provide photography education, opens photography education institutions at every level, and contributes to the opening of such institutions by associations.
ı) It establishes economic enterprises, commercial enterprises, partnerships, mutual aid funds, cooperatives, foundations and similar bodies in fields related to photography, and provides support and advice to such bodies already established or to be established by associations.
i) It acquires movable and immovable property, and sells, leases and operates such property.
j) It establishes and operates darkrooms, studios, clubs, slide banks and digital banks, and supports their establishment.
k) It organizes national and international competitions and fairs, and grants awards, in order to support, develop and spread the art of photography.
l) It provides material and moral support to member associations working for the development of the art of photography.
m) In order to protect the rights of photographers and to develop the art of photography, it assists in, oversees and supports the establishment of national and international photography-competition rules, and nominates members to selection committees. It establishes competition principles so that national and international photography competitions held in Türkiye are conducted to certain standards, and encourages their application. It grants approval of compliance to competitions, monitors and documents their results, and warns and applies sanctions where the rules are not observed.
n) In order to protect the rights of photographers, it carries out the necessary work and provides information on photographic copyright.
o) It transfers any in-kind or monetary aid received, from within the country or abroad, such as photographic materials and equipment, to associations in need of them.
ö) Making use of the country's photographic potential, it organizes photographic activities of every kind, at home and abroad, through joint organizations.
p) By decision of the Board of Directors, it may form, and take part in, platforms with federations, foundations, trade unions and similar civil society organizations in fields related to its purposes, in order to achieve a common goal.
r) By decision of the Board of Directors, it may open representative offices where deemed necessary to carry out association activities.
s) It employs an appropriate number of personnel to carry out the Federation's activities, pays their wages and secures their social rights.
ş) It may take part in, and implement, European Union projects and international and national social-responsibility projects. It may give and receive grants related to these projects.
t) It prepares, commissions and carries out photography activities and projects in order to raise awareness on social issues and every kind of disadvantaged situation (refugees, migration, war, disability, old age, violence against women, human rights, climate change, drought, earthquakes, urban transformation, floods, environmental awareness, etc.).

Article 6 - FEDERATION MEMBERSHIP
Membership is granted when the application of a photography-focused association that meets the conditions required by current law to join the Federation and that has fulfilled the legal formalities, is accepted by the Federation's Board of Directors.
The right to object to a decision of the Board of Directors rejecting a membership application is evaluated at the first General Assembly.
Associations that accept the Federation's charter apply for membership by preparing the following documents. Applicant associations must have existed for at least three years from their founding date and must have held two ordinary general assemblies, and must send certified copies of the result notifications of both general assemblies.
- The association's board of directors' letter of application
- A copy of the decision taken at the association's general assembly to "become a member of the federation"
- The association's approved charter
- A photocopy of the letter from the local administrative authority confirming approval of the association's charter
- A report summarizing the association's activities
The application is reviewed by the Federation's Board of Directors and a decision is made within 30 days at the latest.
Article 7 - WITHDRAWAL FROM FEDERATION MEMBERSHIP
a) Every member association has the right to withdraw from the Federation by giving written notice. The Board of Directors requires that the member association's withdrawal decision have been taken in the manner prescribed by its own charter.
b) An association that withdraws, is expelled, or is closed down by the competent authorities from the Federation is obliged to pay the dues for the period during which it held membership. Otherwise these are collected through enforcement proceedings.
c) Associations that withdraw from, are dissolved, are expelled from, or are closed down by the competent authorities from the Federation are considered to have lost their rights over the Federation's activities and may not benefit from them, and are considered to have waived every kind of material and in-kind right relating to the assets owned by the Federation.
Article 8 - EXPULSION FROM FEDERATION MEMBERSHIP
Member associations may be expelled from the Federation in the following circumstances:
a) Acting contrary to the Federation's charter or engaging in practices that violate the Law on Associations.
b) Acting in a manner that obstructs the implementation of the Federation General Assembly's decisions.
c) Failing to pay dues owed.
In the circumstances stated above, the Federation's Board of Directors places the matter on its agenda and may expel the association from membership by a vote of 2/3 of the number of members. The Federation's Board of Directors notifies the association concerned of this decision together with its grounds. If the association's management does not submit a written objection to the Federation within one month of the decision, the decision is considered to have been accepted. If a written objection is submitted, the matter is discussed and decided at the first Federation general assembly. An expulsion decision finalized by the Federation general assembly cannot be objected to.
Article 9 - OBLIGATIONS OF MEMBER ASSOCIATIONS TO THE FEDERATION
a) Member associations carry out their work in line with their own charters and programs, independently of the Federation.
b) Member associations are obliged to comply with the Federation's charter and the decisions of its general assembly. Member associations cooperate in the implementation of decisions taken by the Federation's Board of Directors.
c) Member associations must hold their ordinary general assembly meetings at least two months before the Federation's general assembly meeting and must have determined their Federation delegates. The list of delegates determined by member associations is notified at least 45 days before the Federation general assembly. Associations that hold their general assemblies once every two years are considered to have elected their delegates for two years.
ç) Member associations regularly pay the Federation participation share and annual dues determined by the Federation general assembly.
d) When joining the Federation, associations declare in writing the current names and contact information of their own members. Every six months they report the names and contact information of members who have left and of new members.
e) The boards of directors of member associations send the Federation a report summarizing their activities and financial statements at the end of every year.
Article 10 - ORGANS OF THE FEDERATION
a) General Assembly
b) Board of Directors
c) Board of Auditors. Where deemed necessary, other organs may also be formed by the general assembly. However, the duties, powers and responsibilities of the mandatory organs may not be delegated to these organs.
Article 11 - FORMATION OF THE FEDERATION GENERAL ASSEMBLY
a) The Federation general assembly's delegates consist of elected members of member associations.
b) If a vacancy arises among the delegates for any reason, it is filled, in order, from among the alternate delegates of the association concerned.
c) The term of a delegate is limited to the general-assembly period of the association of which they are a member.
ç) Every member association is represented at the Federation general assembly by 3 delegates, one of whom must be the association's board chair, for up to 50 members, and by one additional delegate for every further 75 members (for each additional delegate, the figure of 38, which is one more than half of 75, must be reached). Associations elect as many alternate delegates as principal delegates.
d) Each delegate has one vote. Each delegate casts their vote in person.
Article 12 - FEDERATION GENERAL ASSEMBLY MEETINGS
a) Ordinary General Assembly: The Federation general assembly is ordinarily held once every three years, in the month of April.
b) Extraordinary General Assembly: The general assembly may convene in extraordinary session if the Board of Directors or the Board of Auditors deems it necessary, or upon the written request of 1/5 of the general assembly delegates.
Upon the written request of the Board of Auditors or of 1/5 of the delegates, the Board of Directors must call the general assembly to a meeting within one month at the latest. Otherwise, upon the request of a member of the Board of Auditors or of one of the delegates requesting the meeting, the local civil court of peace forms a committee of 3 persons from among the Federation's delegates, and this committee convenes the Federation general assembly.
Article 13 - PROCEDURE FOR CALLING THE FEDERATION GENERAL ASSEMBLY MEETING
a) The Board of Directors notifies associations and delegates, by e-mail, SMS, letter or announcement, 30 days before the meeting, of the list of association delegates entitled to attend the general assembly under the Federation's charter and of information relating to the meeting, and posts the delegate list at the Federation's headquarters. In addition, the associations and delegates who will attend the general assembly are called to the meeting by being notified of the date, time, place and agenda at least 30 days in advance. If the meeting cannot be held due to failure to achieve a quorum at this call, the second meeting may not be held earlier than one week later.
b) If the meeting is postponed for any other reason, this is announced to member associations and delegates, together with the reason for the postponement, recorded in minutes, in the same manner as the first meeting was announced.
c) The second meeting must be held within two months at the latest from the date of postponement. Members are called again to the second meeting according to the principles specified in paragraph (a). A general assembly meeting may not be postponed more than once.
Article 14 - QUORUM FOR THE FEDERATION GENERAL ASSEMBLY MEETING
a) The general assembly convenes with the attendance of more than half of the delegates entitled to attend the general assembly under the Federation's charter.
b) If the quorum is not achieved at the first meeting, no quorum is required at the second meeting. However, the number of members attending the meeting may not be less than twice the total number of full members of the Federation's Board of Directors and Board of Auditors.
Article 15 - VENUE OF THE FEDERATION GENERAL ASSEMBLY MEETING
General assembly meetings are held at the venue determined by the Board of Directors.
Article 16 - PROCEDURE FOR CONDUCTING THE FEDERATION GENERAL ASSEMBLY MEETING
a) Delegates attending the general assembly enter the meeting venue by signing next to their names on the delegate list. If the meeting quorum has been achieved, the meeting is opened by the chair of the Board of Directors or by a Board member designated by the chair.
b) To conduct the meeting, a chair and two members are elected by open vote to form the presiding board.
c) The conduct of the meeting belongs to the congress presiding board's chair. The minutes drawn up at the congress are signed by all members of the presiding board and delivered to the Board of Directors.
ç) Unless the general assembly decides otherwise, the election of the full and alternate members of the Board of Directors and the Board of Auditors is conducted by secret ballot with open counting.
In organ elections the list-voting procedure is applied; delegates may cast their vote in the form of a full slate list.
Article 17 - MATTERS TO BE DISCUSSED AT THE FEDERATION GENERAL ASSEMBLY MEETING
Only items on the agenda are discussed and decided at the general assembly meeting. Items requested to be discussed by 1/10 of the members present at the general assembly meeting must be added to the agenda.
Article 18 - DUTIES AND POWERS OF THE FEDERATION GENERAL ASSEMBLY
The general assembly is the Federation's most authoritative decision-making organ, and its duties are as follows:
a) Electing the Federation's organs.
b) Amending the Federation's charter.
c) Approving, where necessary, the expulsion of member associations, deciding on related objections, and deciding on complaints of member associations or disputes existing between associations.
ç) Discussing and discharging the reports of the Board of Directors and the Board of Auditors.
d) Authorizing the Board of Directors regarding the purchase of immovable property needed for the Federation, or the sale, leasing, operation or transfer of existing immovable property.
e) Deciding to join or withdraw from a confederation to be formed by similar federations, and electing delegates for the confederation's general assembly.
f) Deciding on the dissolution of the Federation.
g) Exercising all powers and performing all duties specified in the Law on Associations in matters not covered here.
Federation general assembly decisions are taken by more than half of the members present at the meeting. Decisions on charter amendments and on joining or withdrawing from international and national federations or confederations are taken by a vote of 2/3 of the members present at the meeting.
Elections of the Federation's authorized bodies are held by secret ballot with open counting; voting on other matters is conducted openly by a show of hands.
Article 19 - FORMATION OF THE BOARD OF DIRECTORS - MEETING AND DECISION-MAKING PROCEDURES
a) The Board of Directors consists of 11 full and 11 alternate members. The Board of Directors is elected by the general assembly by secret ballot for a term of three years.
b) Board of Directors members elected by the general assembly convene among themselves within 7 days of the election. At this meeting a chair, at least two vice-chairs, a secretary general and a treasurer are elected.
c) The Board of Directors convenes at least once every two months, with a simple majority, with one of the chair or vice-chairs present. The meeting quorum is 6.
ç) A member is considered to have resigned if legal impediments arise or if they fail to attend three consecutive meetings without valid excuse. Whenever a member's membership lapses and/or they withdraw for any reason, the first member from the alternate list, in order of votes received, is called to replace them. If the number of Board of Directors members falls below 5, the Board of Directors must call the general assembly to a meeting within one month.
The terms of office of delegates elected to the Federation's authorized bodies continue for the duration of the Federation's ordinary working period of 3 years. Officers whose delegate status in their own association has ended continue to perform their duties until the end of the term.
d) The Board of Directors is the most authoritative decision-making organ after the general assembly, and is responsible to the general assembly. It represents the Federation before administrative and judicial authorities and before natural and legal persons.
Article 20 - DUTIES AND POWERS OF THE FEDERATION'S BOARD OF DIRECTORS
a) Representing the Federation.
b) Carrying out the Federation's work within the framework of the charter and the decisions of the general assembly.
c) Preparing the Federation's activity reports, budget and balance sheet and submitting them to the general assembly, and keeping the books required by law.
ç) Using the Federation's money and property in a manner appropriate to its purpose.
d) Ensuring that member associations carry out their activities in accordance with the provisions of their charters.
e) Deciding on the expulsion of associations acting contrary to the Federation's charter.
f) Notifying member associations of the Federation's activities at regular intervals, ensuring coordination among associations, and supporting their work.
g) Calling the general assembly to ordinary and extraordinary meetings, and preparing internal regulations, bylaws and directives.
ğ) Acquiring movable and immovable property and leasing premises, based on authority received from the general assembly.
h) Covering the expenses of members it decides to send, in an official capacity, to domestic and international meetings for this purpose.
ı) Hiring managers, officers and other personnel deemed necessary for the Federation's activities, terminating their duties, and securing their wages, bonuses and social rights.
i) Entering into any and all contracts on behalf of the Federation within the powers granted to it, and carrying out the work provided for in Article 3 of the charter.
j) Deciding to have receipt vouchers printed for determining the association's income.
k) The Board of Directors may form boards and commissions where it deems necessary. The duties, powers and terms of office of such boards and commissions are determined by the Board of Directors in a manner not exceeding that management term.
Article 21 - DUTIES AND POWERS OF THE CHAIR OF THE FEDERATION'S BOARD OF DIRECTORS
a) Represents the Federation's legal personality and implements the decisions of the Board of Directors.
b) Personally carries out the work necessary to establish and develop positive relations and cooperation between the associations themselves and the Federation.
c) Is the head of all offices and personnel within the Federation, and has the authority to oversee and examine all kinds of work, including of affiliated organizations.
The Chair has the authority, having taken the view of the Board of Directors, to hold press conferences on behalf of the Federation, to make statements in all kinds of press and media outlets, and to speak on behalf of the Federation at domestic and international meetings. Where the Chair deems it necessary, they may delegate this authority to any member of the Board of Directors, provided the Board of Directors is informed.
ç) Is authorized to hold, and spend, an amount of advance funds to be determined by the Board of Directors.
Article 22 - DUTIES AND POWERS OF THE FEDERATION'S SECRETARY GENERAL
a) Carries out the duties assigned by the Chair and the Board of Directors. Organizes and conducts all the Federation's administrative correspondence.
b) Organizes the Board of Directors' agenda and brings it to the Board.
c) Carries out the personnel affairs of officers employed within the Federation.
ç) Carries out the decisions taken, and duties assigned, by the Chair and the Federation's organs.
d) Carries out all kinds of legal and administrative work relating to the Federation.
Article 23 - DUTIES AND POWERS OF THE FEDERATION'S TREASURER
a) Ensures the collection of the Federation's income, that expenditures are made in accordance with the budget, and that accounting records are kept in an orderly manner. Ensures that taxes and insurance premiums are paid on time. Ensures that documents and inventory records relating to the Federation's movable and immovable property are kept in accordance with procedure. Submits the income-expenditure statement and trial balances to the Board of Directors.
b) Prepares the income-expenditure report to be submitted to the general assembly.
c) Keeps the Federation's accounts ready for internal and external audits.
ç) Co-signs, together with the Chair, under the Federation's seal, documents and correspondence relating to accounting transactions such as collection, payment and offsetting. In the Chair's absence, co-signs together with a vice-chair or another member authorized by the Board of Directors.
d) Makes all kinds of expenditures in line with Board of Directors decisions. May not hold cash on hand beyond the amount to be determined by decision of the Federation's Board of Directors.
Article 24 - FORMATION OF THE FEDERATION'S BOARD OF AUDITORS
The Board of Auditors is elected by the general assembly by secret ballot for a term of three years. It consists of 3 full and 3 alternate members. The elected full members elect a chair from among themselves at their first meeting. Board of Auditors members do not receive a fee for their duties. However, expenses incurred by members in the course of their duties are paid to them by the Federation. If all members of the Board of Auditors are replaced by alternate members and the number of members falls to 2, an extraordinary general assembly is convened.
Article 25 - DUTIES AND POWERS OF THE FEDERATION'S BOARD OF AUDITORS
Internal audit is fundamental in the Federation. The general assembly or Board of Directors may, where deemed necessary, have an audit carried out by independent audit organizations.
a) They audit all of the Federation's transactions, accounts and books. They submit to the general assembly, in the form of a report, examinations relating to the three-year management and financial audit results, the balance sheet and the income-expenditure account.
b) They check that the Federation's income, expenditures, expenditure vouchers and invoices are recorded properly and in an orderly manner, and whether Board of Directors decisions relating to these expenditures have been taken.
c) They audit the Federation's bank accounts and the money on hand and in the till. They check whether the Federation's inventory items are in place.
ç) They audit whether records of incoming and outgoing correspondence are kept, and whether necessary responses are given to applications.
d) Where necessary, they call the general assembly to a meeting through the Board of Directors.
e) They submit the audit results to the Board of Directors at least once a year, in a report they prepare, and the Board of Directors forwards this report to member associations.
f) They record the decisions they take and their audit reports, in chronological order, in a special ledger and preserve them.
g) Membership lapses in the event of resignation, severance of ties with one's association, or the existence of legal impediments. The first alternate member is brought in to replace them.
ğ) The Board of Directors is obliged to obtain the documents requested by the Board of Auditors and make them available for inspection.
Article 26 - LEDGERS REQUIRED TO BE KEPT
The Federation keeps the following ledgers, listed below, and has them certified by a notary.
a) Member Register
b) Decision ledger
c) Incoming-Outgoing Correspondence ledger
ç) Operating-account ledger
d) Inventory ledger
e) Receipt Voucher Register
Article 27 - NOTIFICATION TO THE AUTHORITIES OF THOSE ELECTED TO THE FEDERATION'S ORGANS
Within the legal period following the election held by the general assembly, the general-assembly result notification and the general-assembly presiding-board minutes are notified in writing to the associations directorate by the chair of the Board of Directors or by a Board member designated by the Board of Directors.
Article 28 - THE FEDERATION'S INCOME
a) Federation entrance fees and member-association dues.
b) In-kind and monetary aid, donations, and bank and financial deposit and securities income made to the Federation by individuals, private and public institutions, in accordance with the provisions of legislation on accepting aid and donations.
c) Income obtained from activities and publications organized by the Federation.
d) In-kind and monetary aid to be received from abroad, made by decision of the Board of Directors, on condition that prior notification is given to the local administrative authority and that it is made through a bank.
e) Title and identity-card dues collected from the members of member associations, and related income, to be transferred to a federation established abroad of which the Federation is a member, also form part of the Federation's income.
The "federation entrance fee," collected once from associations newly joining the Federation, and the annual dues to be paid by member associations, are determined by the general assembly for each financial year. Payments must have been completed by the end of the year.
The Federation may receive financial assistance from, and provide financial assistance to, similar associations, legal entities and professional organizations.
Article 29 - PROCEDURE FOR THE FEDERATION'S INCOME AND EXPENDITURES
The Federation issues a receipt voucher for its income.
Expenditures must be appropriate to the Federation's purpose and must be documented by invoice, receipt, voucher or minutes. Expenditures that cannot be documented must be explained in a minute and signed by the Chair together with at least two members of the Board of Directors.
The retention period for these documents is 5 years.
Receipt vouchers to be used for the association's income are printed by authorized private printers by decision of the Board of Directors.
Persons who will collect dues and donations are determined by decision of the Board of Directors and notified to the local administrative authority.
Federation funds above the limit to be determined by decision of the Board of Directors are deposited in a bank.
The Federation may not incur debt in managing its income and expenditures.
Article 30 - TERMINATION OF THE FEDERATION'S LEGAL PERSONALITY
a) Dissolution by decision of the general assembly: For the general assembly to be able to decide on the dissolution of the Federation, 2/3 of the full number of delegates entitled to attend the general assembly must be present. If this majority cannot be achieved, no quorum is required at the second meeting convened by a new call.
For a dissolution decision to be taken, the vote of 2/3 of those present is required. Voting on a dissolution decision at the general assembly is conducted openly.
b) Dissolution by court decision: The Federation may be dissolved by decision of the court of first instance, upon written notice from the local administrative authority and a case brought by the public prosecutor's office, due to practices by the competent authorities that are contrary to the charter.
c) Automatic dissolution: If the Federation loses its founding purpose and conditions and falls into incapacity, and if two consecutive ordinary general assembly meetings cannot be held, it is considered to have automatically dissolved.
Article 31 - LIQUIDATION OF THE FEDERATION
In the event of dissolution or automatic disbandment, all of the Federation's movable and immovable property, funds and receivables are distributed among the associations that have been Federation members for the last 5 years and whose membership continues at the time of dissolution (based on the proportion of the annual dues amounts of the member associations of the Federation).
At the meeting where the dissolution decision is taken, a liquidation board of 3 persons is elected. The liquidation board examines all of the Federation's property and accounts, pays its debts, and distributes the remaining assets in the manner specified above.
If no other method is determined at the general assembly where the dissolution decision is taken, all of the Federation's money, property and rights are transferred, by court decision, to the federation closest to the association's purpose and having the largest membership at the date of closure.
Article 32 - OTHER PROVISIONS
For matters not covered by this charter, the provisions of the Law on Associations and the Turkish Civil Code, and the provisions of other relevant legislation concerning associations, apply.
